SK hynix Pays Intel $1.9 Billion to Finalize Purchase of NAND Memory Technology

Intel received a payment of $1.9 billion from SK hynix, finalizing the sale of the NAND IP. All assets and staff under this name now belong to SK hynix – meaning Solidigm and SK hynix will be able to work closer together on future products.
Here is the official filing for the transaction:
“SK hynix would acquire (i) at a first closing, Intel’s NAND memory fabrication facility in Dalian, China and certain related equipment and tangible assets, and Intel’s NAND solid-state drive business, and (ii) at a second closing, Intel’s NAND memory technology and manufacturing business.
“As previously disclosed, the first closing of the transaction occurred on December 29, 2021. On March 27, 2025, the second closing of the transaction occurred. The consideration received by Intel at the second closing of the transaction was approximately $1.9 billion, net of certain adjustments.”
The filing was signed by April Miller Boise, Executive Vice President and Chief Legal Officer for Intel.
The total transaction occurred in two phases, and is valued at $9 billion. SK hynix is a South Korean semiconductor company, and is the world’s second-largest memory chip maker. They purchased Intel’s SSD and NAND business in 2021, with the final transaction having occurred on March 28, 2025. Solidigm was created by SK hynix to manage the acquired SSD business.
